# Confirmation statement

The statement every company must file at Companies House at least once a year, confirming that the information held about it (such as its registered office, directors and people with significant control) is up to date.

Also called: CS01, annual return, Companies House confirmation statement.

It replaced the old "annual return" in 2016. It's easy to forget in a volunteer-run company, and missing it is an offence and can lead to the company being struck off.

## The timing

- Each "review period" is normally 12 months, starting from incorporation (or the last statement).
- You must file within **14 days** after the end of each review period (s.853A).
- You can file earlier, which starts a new 12-month period.

## What to know

- There's a filing fee. Companies House publishes the current fees on GOV.UK.
- Since 18 November 2025, directors must have **verified their identity** with Companies House. Existing directors give their personal code as part of the company's next confirmation statement, and Companies House won't accept the statement until every director has verified.
- Changes such as a new director or a new registered office should be filed as they happen, not saved up for the statement.
