Terms of Service

Version 1.0, last updated · Draft

Draft. This document is being reviewed by a solicitor before RunYourBlock opens to customers, and may change. Questions: hello@runyourblock.co.uk.

These terms are the contract for using RunYourBlock. Please read them before you sign up. If anything is unclear, email us at hello@runyourblock.co.uk.

1. Who we are

RunYourBlock is a trading name of Scoritz Limited, a company registered in England with company number 03426573. Our registered office is The Loft Unit 11, Hunthay Business Park, Axminster, Devon, England, EX13 5RJ. Our VAT number is 699 3624 73. You can contact us at hello@runyourblock.co.uk.

In these terms, "we", "us" and "our" mean Scoritz Limited.

2. Words we use

  • Customer or you: the company that runs the block and subscribes to the Service, for example a right to manage (RTM) company, a residents' management company (RMC) or a company that owns the freehold.
  • Account owner: the person who signs up and manages the subscription for one or more blocks.
  • Block: one building or group of buildings set up in the Service as a single workspace, with its own web address (for example maple-court.runyourblock.co.uk) and its own subscription.
  • Authorised users: the people you allow to use your block's workspace, such as directors, leaseholders, occupiers and your accountant.
  • Customer data: the information you or your authorised users put into the Service, including personal data about residents.
  • Statutory records: the records your company is required to keep or produce by law or under your leases, as held in the Service. These include service-charge demands and the notices sent with them, ledgers and statements, accounts, documents served on leaseholders, minutes, registers and the audit trail.
  • Service: the RunYourBlock software and website, and any support we give.

3. Who the contract is with

  1. The contract is between us and the Customer. The account owner accepts these terms on the Customer's behalf and confirms they have the Customer's authority to do so (for example, as a director acting with the board's agreement).
  2. The Service is for businesses and companies, not for consumers. Leaseholders and occupiers who use your block's workspace do so as your authorised users. Their relationship about the building is with your company, not with us.
  3. If your company has not been formed yet (for example, while an RTM company is being set up), the person signing up accepts these terms personally until the company is incorporated. Once it is, the company takes over the contract when the account owner tells us its name and company number, or when it starts paying for a plan, whichever is sooner.

4. Your account and security

  1. The account owner must keep their sign-in details safe and use two-factor authentication (a code from an authenticator app). Directors of your block must also use two-factor authentication.
  2. You decide who is an authorised user and what each person can see, using the roles in the Service. You are responsible for what your authorised users do in your workspace.
  3. Tell us straight away at hello@runyourblock.co.uk if you think someone has used your account without permission.

5. What the Service is, and what it isn't

  1. RunYourBlock helps your directors run the block: records, money, deadlines, notices, documents and meetings. Features shown on our website as "coming soon" or "coming later" are not part of the Service until we release them.
  2. We are software only. We do not:
    • hold, receive or pay out your company's money. Leaseholders pay your company's own bank account;
    • manage your building, act as your managing agent, or arrange works, contractors or insurance for you;
    • give legal, tax, accounting or insurance advice. Guides, templates, reminders and deadline calculations are general information to help you. They are not advice about your building or your leases.
  3. Decisions, notices and demands made with the Service are your company's. Before you send anything to leaseholders, check it against your leases and, where needed, take professional advice. The Leasehold Advisory Service (LEASE) gives free initial advice at https://www.lease-advice.org/.
  4. We keep the legal thresholds and time limits in the Service up to date with changes in the law, and we record the source of each one. Laws and leases differ, so the Service may not cover every situation.
  5. We may improve and change the Service. We won't make a change that materially reduces the main features of a paid plan during a period you have already paid for. If we have to (for example, because the law changes), we'll tell you first and you may cancel and get a refund for the unused part of that period.

6. Your responsibilities

You agree to:

  • use the Service lawfully and in line with our Acceptable Use Policy;
  • keep the information you enter accurate, including lease terms, shares and addresses for service;
  • have a lawful basis for the personal data you put into the Service, and tell residents how their data is used (your company is the controller of that data; see our Data Processing Agreement);
  • keep your own copies of anything you must be able to produce, using the export tools.

7. Plans, fees and VAT

  1. Free plan. Each block can use the free plan with no time limit until it issues its first service-charge demand through the Service. To issue a demand, the block needs a paid plan (or the founding-member price).
  2. Paid plans. Prices are per block, set by the number of flats, and are shown on our pricing page when you subscribe. You can pay monthly or annually. An annual subscription costs ten times the monthly price.
  3. VAT. All prices are shown excluding VAT. VAT is added at the rate in force when you are invoiced (currently 20% for standard-rated supplies).
  4. Founding members. The first 50 blocks to take up the founding offer pay £19 a month plus VAT for any block of up to 30 flats, fixed for 2 years from the date their paid subscription starts. After that, the standard price for the block's size applies, and we will remind you at least 30 days before the change.
  5. Payment. Subscriptions are billed in advance and paid through our payment provider, Stripe. They renew automatically at the end of each month or year until cancelled. You can update your card, see invoices and cancel in the billing portal.
  6. Late payment. If a payment fails, we'll tell the account owner by email and try again. If it is still unpaid 14 days after the due date, we may suspend the paid features (see section 9). We may claim statutory interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
  7. Price changes. We may change our standard prices by giving at least 30 days' notice by email. A new price applies from your next billing date after the notice ends (for annual plans, at renewal). The founding price doesn't change during its 2 years.
  8. Changes in block size. If the number of flats in a block moves it into a different price band, the new price applies from the next billing date.
  9. Refunds. Fees are not refundable, except where these terms say so or the law requires it.

8. Your data

  1. You own your customer data. You give us permission to store and process it only to provide the Service to you, to keep it secure, and as the law requires.
  2. We process personal data in your customer data as your processor, under our Data Processing Agreement, which forms part of these terms. Our Privacy Notice explains how we handle data for which we are the controller, such as the account owner's details and billing records.
  3. Customer data is hosted on servers in the United Kingdom. Our sub-processors page lists the providers we use and where they process data.
  4. You can export your data at any time, including while your account is suspended and for 90 days after it ends (see section 10).

9. Suspension

  1. We may suspend your block's workspace, or parts of it, if:

    • fees are unpaid 14 days after the due date;
    • you or your authorised users seriously breach these terms or the Acceptable Use Policy;
    • we must, to protect the Service, other customers or residents from a security threat, or to comply with the law.
  2. We will tell the account owner before suspending, unless urgent action is needed, in which case we'll tell you as soon as we can and explain why.

  3. Suspension never stops your company from getting at its records. While suspended:

    • your directors keep read-only access to your statutory records;
    • leaseholders keep read-only access to their own demands, statements and documents served on them;
    • you can export all your data.

    Suspension can stop new actions, such as issuing demands or sending notices, until the reason for it is resolved.

  4. We'll lift the suspension promptly once the reason for it is resolved.

10. Ending the contract

  1. You can cancel at any time in the billing portal or by emailing us. Cancellation takes effect at the end of the period you have paid for. To close a free-plan block, email us or use the account settings.
  2. We can end the contract:
    • with at least 90 days' notice, for any reason. If we do this, we'll refund any fees paid for the period after the contract ends;
    • straight away by notice, if you seriously breach these terms and don't put it right within 30 days of us asking, or if your company becomes insolvent, is struck off or stops existing.
  3. After the contract ends:
    • for 90 days, your directors keep read-only access and can export everything;
    • we then delete customer data from our live systems within a further 30 days;
    • copies in our backups are overwritten in the normal backup cycle, within 35 days after that. Until then they stay encrypted and are used only to restore systems.
  4. The export gives you your data in standard formats (CSV for records and the original files and PDFs for documents and notices), including the audit trail. Your company may be legally required to keep some records for years after it stops using the Service, so please download them before the 90 days end.
  5. Sections 8, 10, 12, 13, 15 and 18 continue after the contract ends.

11. Availability and support

  1. We aim to keep the Service available at all times, but we don't promise it will be uninterrupted or free from errors. We'll try to do planned maintenance at quiet times and give notice where we can.
  2. Support is by email at hello@runyourblock.co.uk. We aim to reply within two working days. We don't offer phone support.

12. Intellectual property

  1. We (or our licensors) own the Service, including the software, design, guides and templates. We give you a non-exclusive right to use the Service for your company's purposes while your subscription is active.
  2. You may adapt the letters and notices you produce with the Service and use them for your block as you wish.
  3. If you send us ideas or feedback, we may use them freely without paying you.

13. Confidentiality

Each of us will keep the other's confidential information private and use it only for this contract, except where the law requires disclosure or the information is already public. Customer data is confidential information.

14. Our promises

  1. We will provide the Service with reasonable skill and care.
  2. If the Service doesn't work as described, tell us. We'll try to fix it within a reasonable time. If we can't, you may cancel and we'll refund fees paid for the period after cancellation.
  3. Apart from what these terms say, we don't make any other promises about the Service, as far as the law allows.

15. Liability

  1. Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that the law does not allow to be limited or excluded.
  2. We are not liable for:
    • loss of profit, revenue or business opportunity;
    • indirect or consequential loss;
    • sums your company cannot recover from leaseholders, or must repay or write off, because of the content or timing of a demand, notice or consultation your company decided to send, except to the extent the loss was caused by our failure to provide the Service as described in these terms.
  3. Our total liability to you in any 12-month period, whether in contract, negligence or otherwise, is limited to the greater of:
    • the fees you paid or were due to pay for the Service in the 12 months before the event giving rise to the claim; and
    • £500.
  4. If customer data is lost or damaged because of our failure, our main responsibility is to restore it from our most recent backup as quickly as we reasonably can.

16. Changes to these terms

We may update these terms. For a change that affects you materially, we'll email the account owner at least 30 days before it takes effect. If you don't agree, you may cancel before the change takes effect and we'll refund fees paid for the period after cancellation. The version and date at the top of this page show which terms apply.

17. Notices

We send notices under these terms by email to the account owner's address. You send notices to hello@runyourblock.co.uk. Formal legal notices may also be sent by post to our registered office.

18. General

  1. Events outside our control. Neither of us is responsible for delay or failure caused by events outside our reasonable control. If such an event lasts more than 60 days, either of us may end the contract by notice.
  2. Transfer. You may transfer the contract to another company that takes over running the block, by telling us. We may transfer it to a business that takes over the Service, and we'll tell you if we do.
  3. Subcontractors. We may use subcontractors and sub-processors to provide the Service. We remain responsible for them.
  4. Entire agreement. These terms, the Data Processing Agreement and the Acceptable Use Policy are the whole agreement between us about the Service.
  5. Third parties. Nobody else, including leaseholders and occupiers, has any right to enforce these terms.
  6. If part of these terms is invalid, the rest still applies.
  7. Not enforcing a right straight away doesn't mean we, or you, have given it up.

19. Law and courts

These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute about them.
